What Exactly Is Investment Banking? (And Why You Should Care)

You’ve probably heard the term investment banking tossed around at networking events or in movies where someone’s always on the phone yelling about a “deal.” But what does an investment banker actually do? Are we Excel wizards? Master negotiators?

Financial detectives? Smooth-talking dealmakers? The short answer: all of the above… and then some.

The process sounds big and complex (and sometimes it is), but every deal really comes down to three main stages: Origination, Structuring, and Distribution. Let’s break them down.

Stage 1: Origination Where the Magic Begins

Every transaction starts with origination which simply means finding and bringing in the deal.

This is where relationships matter. Many of the transactions we work on begin because we’ve built trust over time with entrepreneurs and business leaders. That’s why we’re always out there meeting new people, attending events, and talking to decision-makers to understand their funding needs and how we can help.

Stage 2: Structuring Turning an Idea into a Deal

Once we’ve identified a great opportunity, it’s time to structure it.

This is where we get into the nitty-gritty, by working out and finalizing the deal terms. For example, if a client needs debt capital, we figure out:

It starts with a deep dive into the business. We look at financials, projections, management team, governance, products, clients, suppliers, and anything else that tells us how strong the business is. We also do a market read, which is just reaching out to potential investors early to make sure the deal will appeal to them.

This stage isn’t just spreadsheets and phone calls. We’re also coordinating with regulators, trustees, legal teams, selling agents, and co-brokers. Depending on the type of transaction, regulators may need to approve the deal or give a “No Objection.” Lawyers draft the transaction documents and we make sure every single clause reflects exactly what’s been agreed.

Once the client signs off, everyone’s on board, and approvals are in place, we move to the final stage.

Stage 3: Distribution Taking the Deal to the Market

Now it’s go time.

In the distribution phase, we take the structured investment and bring it to investors, either directly or through selling agents and co-brokers who have access to a wider network of institutional and individual investors.

This can involve presentations, roadshows, and in-depth discussions that break down the deal, build investor confidence, and secure commitments. Sometimes, we tweak terms based on market feedback because flexibility can mean the difference between “almost” and “fully subscribed.”

Once the investment is fully subscribed to (or the closing date hits), the deal wraps, however, the work doesn’t quite stop. We finalize all the closing documents to ensure compliance across all applicable jurisdictions.
